By accessing or using the CHACHA Prime website (chachaprime.com and its subdomains), requesting a quote, placing a service order, or engaging with any of our trade services, you agree to be bound by these Terms & Conditions ("Terms").

These Terms constitute a legally binding agreement between you ("Client", "you", or "your") and Yiwu Chacha International Trade Co., Ltd. and its affiliated entities including Arain 7 LLC (USA) and ARAIN 7 (SMC-PRIVATE) LIMITED (Pakistan), collectively referred to as "CHACHA Prime", "we", "us", or "our".

If you do not agree to these Terms, you must not use our services. We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.

CHACHA Prime provides the following categories of services:

• •DDP (Delivered Duty Paid) end-to-end logistics
• •Customs clearance and documentation

• Business Support Services:
• •China business visa assistance
• •Work and study visa support
• •Import/export documentation
• •B2B wholesale sourcing
• •Trade finance consultation

• Digital Services:
• •Online marketplace access (chachaprime.store and chachaprime.shop)
• •Reseller and dropshipper programme
• •Academy and trade education

All services are subject to availability, applicable regulations, and separate service agreements where required.

By using our services, you agree to:

• Accuracy of Information:
• •Provide accurate, complete, and current information in all quote requests, orders, and communications
• •Promptly notify us of any changes to your contact details, business information, or order requirements
• •Ensure all product descriptions, specifications, and quantities are accurate

• Legal Compliance:
• •Comply with all applicable laws and regulations in your country and in China
• •Ensure that products you wish to import/export are legal in both origin and destination countries
• •Obtain all necessary import licences, permits, and regulatory approvals
• •Not use our services for any illegal, fraudulent, or prohibited trade activities

• Intellectual Property:
• •Confirm that you have the right to manufacture or source any branded, patented, or trademarked products
• •Indemnify CHACHA Prime against any intellectual property claims arising from your orders

• Communication:
• •Respond to our communications within reasonable timeframes to avoid service delays
• •Designate an authorised representative for all business communications

Quotations: All quotes provided by CHACHA Prime are estimates based on the information provided at the time of enquiry. Final pricing is confirmed in a formal service agreement or invoice. Quotes are valid for 7 days unless otherwise stated.

Pricing Factors: Service fees are influenced by order volume, product complexity, shipping routes, current freight rates, currency exchange rates, and applicable taxes or duties. We reserve the right to adjust pricing if material changes occur after a quote is issued.

• Payment Terms:
• •A deposit (typically 30–50%) is required to commence most services
• •Balance payment is due before shipment release or service completion
• •Payment terms for ongoing clients may be negotiated separately

• Accepted Payment Methods:
• •Bank wire transfer (TT)
• •Online payment via Stripe (credit/debit cards)
• •Other methods as agreed in writing

Currency: All prices are quoted in USD unless otherwise specified. Currency fluctuations are the client's responsibility.

Late Payment: Overdue payments may incur interest at 1.5% per month. We reserve the right to suspend services for accounts with outstanding balances.

Scope of Liability: CHACHA Prime acts as a trade facilitation and logistics coordination company. We are not the manufacturer, seller, or owner of the goods we source on your behalf.

• We Are Not Liable For:
• •Product defects, quality issues, or non-conformance beyond what was inspected and approved
• •Delays caused by customs authorities, port congestion, weather, strikes, or force majeure events
• •Loss or damage during transit beyond the coverage of applicable cargo insurance
• •Actions or omissions of third-party suppliers, factories, freight carriers, or government agencies
• •Indirect, consequential, or punitive damages of any kind

Maximum Liability: Our total liability for any claim arising from our services shall not exceed the total fees paid to CHACHA Prime for the specific service giving rise to the claim, in the 3 months preceding the claim.

Quality Inspection Limitation: Quality inspection services reduce but do not eliminate the risk of defects. Inspection reports reflect the condition of sampled goods at the time of inspection only.

Our Content: All content on the CHACHA Prime website including text, graphics, logos, images, and software is the property of CHACHA Prime or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Permitted Use: You may access and use our website content for personal, non-commercial purposes only. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Your Content: By submitting product specifications, designs, or other materials to us, you grant CHACHA Prime a limited licence to use such materials solely for the purpose of providing the requested services. You retain ownership of your intellectual property.

Trademarks: "CHACHA Prime", "Yiwu Chacha", and associated logos are trademarks of Yiwu Chacha International Trade Co., Ltd. Unauthorised use is strictly prohibited.

Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes but is not limited to:

• •Product designs, specifications, and sourcing strategies
• •Supplier and factory contact details provided by CHACHA Prime
• •Pricing structures and commercial terms
• •Business plans and market strategies

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the business relationship for a period of 3 years.

CHACHA Prime will not share your supplier contacts or sourcing strategies with competitors.

Informal Resolution: In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice.

Mediation: If informal resolution fails, disputes may be referred to a mutually agreed mediator before proceeding to arbitration or litigation.

Governing Law: These Terms are governed by the laws of the People's Republic of China for services performed in China. For international disputes, the parties may agree to apply the laws of a neutral jurisdiction.

Arbitration: Unresolved disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) or another mutually agreed arbitration body.

Jurisdiction: Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

By You: You may terminate a service engagement by providing written notice. Termination fees may apply depending on the stage of service completion and costs already incurred.

• By CHACHA Prime:

We reserve the right to terminate or suspend services immediately if:

• •You breach any material term of these Terms
• •You fail to make required payments
• •We have reason to believe your activities are illegal or fraudulent
• •Continuing the service would expose us to legal or reputational risk

Effect of Termination: Upon termination, all outstanding fees become immediately due. We will return any client-owned materials in our possession. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

CHACHA Prime shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to:

• •Natural disasters, floods, earthquakes, or extreme weather
• •Pandemics, epidemics, or public health emergencies
• •Government actions, trade sanctions, or regulatory changes
• •Port closures, customs delays, or transportation disruptions
• •Strikes, labour disputes, or civil unrest
• •Cyberattacks or critical infrastructure failures

In such events, we will notify you promptly and make reasonable efforts to resume services as soon as practicable.
